1. ELIGIBILITY

To be eligible for any ONUS Services, you must be 18 years of age or older and reside in the country in which the relevant ONUS Services are accessible. Please note that not all ONUS Services are available in all countries.

2. SERVICES

2.1 Digital Asset Services

The following services ("Digital Asset Services") may be provided to you by ONUS:

A Digital Asset Wallet ("Digital Asset Wallet") allows you to store, track, transfer and manage the balances of several types of supported Digital Assets such as Bitcoin or Ethereum, …. (collectively, "Digital Assets");

The Digital Assets redemption service allows you to choose prices for the conversion (buying and selling) of various types of Digital Assets and (subject to certain restrictions) perform any redemption on the ONUS App ("Digital Asset Exchange Service").

2.2 Additional Services.

In addition to core services (i.e., Digital Asset Services), the following services ("Additional Services") may be provided by ONUS such as P2P, daily staking, Credit Line, Secured Trading Guarantee, Farming, Launchpad…

2.3 Service fees ("Fees").

You agree to be responsible for and pay all fees for using the service.

3. SET UP AN ACCOUNT

3.1 Register for an ONUS account

To use the ONUS Services, you need to register for an ONUS account ("ONUS Account") by providing your details, including your name, email address, and password, and accepting the terms of this Agreement.

By using an ONUS Account, you agree and represent that you will only use the ONUS Services for yourself. Each customer is only allowed to register one ONUS account. You are solely responsible for all activities that occur in your ONUS Account.

We may, in our sole discretion, refuse to open an ONUS Account for you, or suspend or terminate any ONUS Account (including but not limited to duplicate accounts), or suspend or terminate transactions of specific Digital Assets in your account.

3.2 Identity verification

You agree to provide us with the information we request (which we may request from time to time as we deem necessary) for identity verification and the detection of money laundering, terrorist financing, Disclosure fraud, or any other financial crime, including as outlined in Schedule 2 (Verification Procedures and Limits) and allow us to retain such information.

You will need to complete specific verification procedures before you can start using the ONUS Services and access specific ONUS Services, including certain redemptions of and Digital Assets. The limits applicable to your use of the ONUS Services may be subject to change as information is continuously collected.

The information we request may include (but is not limited to) personal information such as name, residential address, phone number, email address, date of birth, taxpayer identification number, national identification number information related to your bank account (such as bank name, account type, routing number and account number) network status, customer type, customer role, payment type, mobile device identifiers (e.g., international mobile subscriber identifier and international mobile device identifier) and other subscriber status details, and any such information that ONUS captures required to collect from time to time under applicable law.

You may also be required to undergo an "Advanced Due Diligence", if ONUS may ask you to submit additional information about yourself or your business, provide relevant documentation and arrange staff meetings. ONUS so that ONUS may have information about the source of your Assets and the source of the Assets for any transactions made during your use of the ONUS Services.

By providing us with this information or any other information that may be requested, you acknowledge that such information is true, accurate and complete that you do not retain any information. May affect ONUS' assessment of applying for an ONUS Account or providing you with ONUS Services. You undertake to promptly notify in writing and provide ONUS with information regarding any changes that may cause any information provided to be false, inaccurate, or incomplete. You undertake to provide any documents, records, and other additional information as may be required by ONUS and/or applicable law. You authorize us to keep records of such information. We will process this information following the Data Protection Section.

You authorize us to make requests, whether directly or through third parties, that we deem necessary to verify your identity or protect you and/or us against fraud or other financial crime and take such action as we reasonably deem necessary to inquire. When we make these requests, you acknowledge and agree that your personal information may be disclosed to fraud or financial crime law enforcement agencies and that those authorities. This can fully answer our requirements. In addition, we may ask you to wait for a period of time following the completion of a transaction before allowing you to use the ONUS Services further and/or before allowing you to engage in transactions beyond the limit volume.

4. DIGITAL ASSET SERVICES

4.1 General

Your Digital Asset Wallet allows you to send Digital Assets to and request, receive and store Digital Assets from other users or third parties outside of the ONUS Platform by offering orders through the ONUS App (each such transaction is a "Digital Asset Transaction").

Digital Assets Exchange Service allows you to trade and exchange Digital Assets on the ONUS Platform; ONUS facilitates and enables the trading and exchange of Digital Assets among its customers on the ONUS Platform.

4.2 Execution of Transactions

We will use reasonable efforts to affect all transactions (buy/sell), exchange of Digital Assets. Still, in some cases, we may not be able to do so. If so, we will notify you and obtain your consent to attempt redemption at the current Exchange Rate (as defined below).

4.3 Exchange rate

Each conversion (buying or selling) of a Digital Asset is also subject to the Exchange Rate for that transaction. "Exchange Rate" means the price of a certain supported Digital Asset in units of Fiat as quoted on the ONUS App. The Exchange Rate is EXPRESSED as a "Buy Price" or "Ask Price", which is the price at which you can buy or sell the respective Digital Asset.

You acknowledge that the Exchange Rate for the Purchase Price may not be the same as the Exchange Rate for the Sale Price at any time and that we may add an Asset of Difference to the quoted Exchange Rate. When you agree to make a transaction, you agree to accept that Exchange Rate when you transact. We do not guarantee the availability of any Exchange Rates. We do not guarantee that you will be able to trade (buy and/or sell) your Digital Assets on the open market at any price or at any particular time.

4.4 Approval of transactions; Reverse the transaction; Cancel the transaction

By clicking the 'Buy' or 'Sell' button on the ONUS App, you are authorizing ONUS to initiate a transaction with the Quoted Bid or Ask Price and agree to any associated fees and any other fees.

You may not cancel, reverse or change transactions marked as complete or pending. If your payment fails or if your payment method does not have sufficient Digital Assets, you authorize us, in our sole discretion, to cancel the transaction or deduct the Assets from your other payment methods to complete the transaction. It is your responsibility to maintain an appropriate balance and/or sufficient Digital Asset limit or fees. ONUS reserves the right to suspend access to the ONUS Services until such unpaid Digital Assets are settled.

4.5 Trading Digital Assets

We will process Digital Asset Transactions according to the instructions we receive from you. You need to verify all transaction information before giving us instructions. We do not guarantee the identity of any user, recipient, authorized person, or other third parties, and we have no obligation or responsibility to ensure that the information you provide is accurate and complete.

Digital Asset transactions are non-refundable once submitted to the respective Digital Asset network. Suppose you perform a Digital Asset Transaction by entering the recipient's email address, and the recipient does not have an ONUS Account available. In that case, we will invite the recipient to open an ONUS Account. If the recipient does not open an ONUS Account within 30 days, we will return the relevant Digital Asset Unit to your Digital Asset Wallet.

We may charge a network fee to process Digital Asset Transactions on your behalf. We will charge the network fee at our discretion. However, we will always inform you of the network fee when you approve the Digital Asset Transaction or before. The network fee for each transaction will be shown on the payment page at the time of payment. When you or a third party deposit Digital Assets from an external wallet that is not part of ONUS into the ONUS Digital Asset Wallet, the person performing the transaction is responsible for the proper execution of the transaction, including the payment of network fees, grid for transactions to be completed and other issues. Failure to pay network fees may result in your transaction being held in a pending state beyond ONUS' control; We are not responsible for delay or loss arising from errors in the execution of transactions, and we are not obliged to assist in the recovery of such erroneous transactions.

Once a Digital Asset Transaction is submitted to the Digital Asset network, the transaction will not be confirmed for a time until the Digital Asset network confirms the transaction. A Digital Asset transaction is pending means that the transaction has not been completed. The Digital Asset Number associated with a pending Digital Asset Transaction will be designated as pending and will not be added to your Digital Asset Wallet balance and also is not available to execute Digital Asset Transactions until the network confirms the transaction.

We may also refuse to process or cancel any pending Digital Asset Transactions as required by law, regulation, or any other court or authority to which ONUS is subject under any jurisdiction, for example, in the case of suspected Asset laundering, terrorist financing, fraud, or any other financial offense.

4.6 Types of Digital Assets Supported

Our Digital Asset Service applies only to the types of Digital Assets supported by ONUS ("Supported Digital Asset Types") and the types of Digital Assets supported by ONUS. Support may change over time.

Under no circumstances should you use your Digital Asset Wallet to store, send, request, or receive Digital Assets in any way that we do not support. We are not responsible or liable for the use of your Digital Asset Wallet for types of Digital Assets that we do not support. You acknowledge and agree that ONUS is not responsible or liable for any unsupported assets sent to the wallet associated with your ONUS Account.

4.7 Stop supporting a type of Digital Asset

At ONUS' sole discretion, ONUS may discontinue supporting any Digital Asset. ONUS will notify you at least two days in advance (unless applicable law or regulatory authority requests to discontinue support for a shorter period) to the email address associated with your ONUS account to notify of such discontinuance or by posting a notice on the ONUS App, Website. If you do not sell or deposit such Digital Assets off the platform during this time, ONUS reserves the right to withdraw such Digital Assets from your account and credit your ONUS account at the market value of a supported Digital Asset (price will be determined in our reasonable discretion).

4.8 Operation of Digital Asset protocols

We do not own or control the underlying software protocols that govern the operation of the types of Digital Assets supported on our platform. In general, the underlying protocols are "open source," and anyone can use, copy, modify, and distribute them.

We are not responsible for the operation of the underlying protocols, and we cannot guarantee the functionality or security of network operations. You acknowledge and accept the risk that the underlying software protocols relating to any type of Digital Asset you contain in your Digital Asset Wallet are subject to change.

In particular, the underlying protocols may be subject to sudden changes in operating rules (including "forks"). Any such significant operational change could seriously affect the availability, value, functionality, and/or name of the type of Digital Asset you contain in your Digital Asset Wallet. ONUS has no control over the timing or nature of these significant operational changes. It would help if you were self-aware of upcoming operational changes and carefully reviewed the public and information that ONUS may provide to determine whether to continue trading in the affected Digital Asset benefit with your ONUS Account or not. In the event of any such operational change, ONUS reserves the right to take necessary steps to protect the security and safety of assets held on the ONUS Platform, including temporarily suspending only works for the type(s) of Digital Assets concerned and other necessary steps; ONUS will use its best efforts to notify you of ONUS's response to material operational changes; however, such changes are beyond ONUS' control and may occur without notice to ONUS. ONUS's response to any material changes to such operations is at ONUS' sole discretion and includes a decision not to support any new Digital Assets, forks, or actions is different.

You acknowledge and accept the risk of operational changes to the Digital Asset protocol and agree that ONUS is not responsible for such functional changes and is not responsible for any loss about what values you might encounter as a result of those rule changes. You acknowledge and accept that ONUS is in its sole discretion to respond to any operational changes and that ONUS is not responsible for assisting you with unsupported protocols or Assets or currencies.

4.9 Latency of storing and transferring Digital Assets

ONUS securely stores the private key of Digital Assets, combining online and offline storage. Our security protocols may delay the execution or credit of a Digital Asset Transaction.

4.10 Third-party payments

We have no control over or are responsible for the distribution, quality, safety, legality, or any other aspect of any goods or services you buy or receive, sell, or transfer to any third party (including other users of the Digital Asset Service). We are not responsible for ensuring that a third-party buyer or seller with whom you deal will complete the transaction or be authorized to complete the transaction. If you have a problem with any goods or services purchased or sold to any third party using the Digital Assets transferred using the Digital Asset Services, or if you have a dispute with such third party, you need to resolve the dispute directly with that third party.

If you believe a third party has been fraudulent, misleading, or otherwise acting inappropriately, or if you cannot resolve a dispute with the third party satisfactorily, you may notify support of ONUS at: https://support.goonus.io/hc/en-us/requests/new so we can see how we can handle it.

4.11 Digital Asset Ownership

All types of Digital Assets are held in your Digital Asset Wallet, which is held by ONUS on an asset custody basis for you. This means:

(A) Ownership of Digital Assets remains with you at all times. As the owner of the Digital Assets in your Digital Asset Wallet, you assume all risk of loss of such Digital Assets. ONUS does not accept any liability for fluctuations in the value of Digital Assets held in your Digital Asset Wallet.

(B) None of the Digital Assets in your Digital Asset Wallet are the property of ONUS or may be used for lending by ONUS; ONUS does not represent assets in a user's Digital Asset Wallet or consider assets in a user's Digital Asset Wallet to be owned by ONUS. ONUS may not grant security for Digital Assets held in your Digital Asset Wallet. Unless there is a legally enforceable decision or judgment from a court, or a valid request from a law enforcement agency, or as otherwise provided herein, ONUS will not sell, transfer, lend, mortgage, or transfer Digital Assets in your Digital Asset Wallet unless requested by you or unless required by a court or law enforcement agency to do so.

(C) You control the types of Digital Assets in your Digital Asset Wallet. You may withdraw your Digital Assets at any time by sending them to another blockchain address controlled by you or a third party, depending on the time of the outage, subject to downtime or not, and subject to other applicable policies.

(D) To more securely hold customers' Digital Assets, ONUS may use shared blockchain addresses to hold Digital Assets on behalf of the customer and/or on behalf of ONUS. Customer's Digital Assets are segregated from ONUS's own Digital Assets by keeping separate ledgers for customer and ONUS accounts. Notwithstanding that, ONUS is under no obligation to use different blockchain addresses to hold Digital Assets owned by you and Digital Assets owned by other customers or by ONUS.

ONUS is under no obligation to issue any type of replacement Digital Asset in the event that any Digital Asset, password or private key is lost, stolen, malfunctioned, or destroyed. or inaccessible.

5. TRADE LIMITS AND HIGH ASSESSMENTS

5.1 Transaction limit

Use of all ONUS Services is subject to a limit on the volume you can trade or transfer within a certain period of time (e.g., daily). Please see Appendix 2 (Verification and Limitation Process) for more details. To view your limits, log in to your ONUS Account. Your transaction limit may vary depending on the verification steps you have completed and other factors. We reserve the right to change the applicable limits as we deem necessary. If you would like to increase your limit beyond what is shown, you can submit a request at https://support.onus.io/hc/en-us/requests/new

5.2 Advanced due diligence

We may ask you to provide additional information about yourself or your business, provide documents and arrange a meeting with ONUS staff if you wish to increase your limit ("Advanced due diligence"). We reserve the right to charge you the costs and fees associated with such Advanced due diligence. However, if we intend to charge you, we will notify you in advance so you can decide if you want to continue to request an increase in the limit or not. At our discretion, we may refuse to increase your limit or we may reduce your limit at a later time, even if you have completed advanced due diligence.

6. SUSPENSION, TERMINATION, AND CANCELLATION

6.1 Suspension, Termination, and Cancellation

We may: (a) refuse to complete or hold, block, cancel or reverse a transaction you approved (even after the Assets have been credited to your ONUS Account), (b) suspend, restrict or terminate your right to use any or all of the ONUS Services, and/or (c) deactivate or cancel your ONUS Account, and these actions are effective immediately i.e., for any reason, including but not limited to the following:

(A) we reasonably believe we need to do this to protect ONUS's reputation;

(B) we are required to do so by applicable law, regulation, or order of any court or other competent authority to which we are subject in any jurisdiction;

(C) we suspect, with a reasonable view, that you have acted in breach of this Agreement;

(D) we suspect you have breached our 'Prohibited Use, Prohibited Business and Conditional Use Policy' (as set forth in Exhibit 1);

(E) we are concerned that a transaction is in error or are concerned about the security of your ONUS Account, or we suspect that the ONUS Service is being used in a fraudulent manner or using illegal;

(F) we suspect money laundering, terrorist financing, fraud, or any other financial offense;

(G) your use of ONUS Account is subject to pending litigation, investigation, or governmental action and/or we perceive a high risk of non-compliance with law or regulation in connection with the operation of your ONUS Account; and/or

(H) you take any action that may affect our control, such as opening multiple ONUS Accounts or abusing our incentive or support programs.

We may also refuse to complete or block, cancel or reverse a transaction you approved when there are insufficient Digital Assets in your Digital Asset Wallet and/or insufficient Digital Assets number in your Digital Asset Wallet to pay for the transaction and associated fees (if any).

6.2 If we refuse to complete a transaction and/or suspend, restrict or close your ONUS Account and/or terminate your use of the ONUS Service, we will (unless we do so) is illegal) sends you notice of the actions and reasons for the denial, suspension, or closure of your account, and, where appropriate, we will also notify you of the error correction procedure that results in refusal, suspension, or closure of your ONUS Account. In the event that we refuse to complete the suspension and/or close your ONUS Account, we will cancel the suspension or complete such transaction as soon as practicable when the reasons for the refusal and/or suspension are not there's more. However, we are under no obligation to allow you to reinstate a trade at the same price or on the same terms as a suspended, reversed, or aborted transaction.

We may suspend, limit or terminate your right to use any or all of the ONUS Services and/or deactivate or cancel your ONUS Account without cause. You acknowledge that our actions, including restricting access, suspending, or closing your ONUS Account, may be based on security criteria necessary for security and risk management protocols. You agree that ONUS is under no obligation to disclose the details of its security and risk management process to you.

6.3 Consequences of Termination or Suspension

Upon termination of this Agreement for any reason, except as prohibited by applicable law or by any other court or order to which ONUS is subject in any jurisdiction, you are authorized to access to your ONUS Account:

(A) within ninety (90) days thereafter to transfer Digital Assets out of your Digital Asset Wallet and/or out of the ONUS Platform; and/or

(B) at any time within a period of ninety (90) days from the date of termination of this Agreement to move Digital Assets out of your Digital Asset Wallet and/or out of the Platform. ONUS platform

You are not permitted to use the ONUS Services or your ONUS Account for any other purpose during this time, and we may, at our sole discretion, limit the functionality of the ONUS Platform or your access to the ONUS Platform.

If we suspend or close your ONUS Account or terminate your use of the ONUS Services for any reason, we reserve the right to require you to complete the procedures set forth in Section 3.2 again (Verification). identity verification) before allowing you to transfer or withdraw Digital Assets.

7. LEGAL RESPONSIBILITIES

7.1 Exemption for ONUS

Suppose you have a dispute with one or more users of the ONUS Services (other than ONUS). In that case, you agree that we and our affiliates or service providers and any officers, directors, agents, neither our joint venture nor our employees and representatives shall be liable for any claims, demands, and damages (actual and consequential, direct or indirect) of any kind arise in connection with such dispute.

7.2 Compensation

You agree to indemnify us, our affiliates and service providers, and each of our respective officers, directors, agents, employees, and representatives. or and service providers, any costs (including attorneys' fees and any fines, fees, or penalties by any regulatory authority) reasonably justified in connection with to any claim, claim or damage arising in connection with your breach and/or our entry into this Agreement (including but only your breach of the 'Prohibition of Use Policy' , Business is prohibited and your 'conditional use' (as set forth in Exhibit 1)) or your violation of any law, rule or regulation, or the rights of any third party.

7.3 Limitation of Liability

ONUS's aggregate liability to you for any individual claim or mass claim to loss, expense, liability or expense which you may incur as a result or in connection with any breach of the Agreement by ONUS shall be limited to the maximum sum of the entire value of the Digital Assets into your Digital Asset Wallet at the time of the breach related by ONUS. In the case of processing a specific request in relation to a particular transaction, the number of such Assets shall be limited to the corresponding number of Transactional Assets (buy/sell) of the international transaction.

7.4 Loss limit

In addition to the limitation of liability in Section 7.3 (Limit of Liability) above, in no event shall we, our affiliates or service providers, or any officers, directors, agents, or agents, managers, employees or representatives of our affiliates or service providers or of us, shall not be liable for any loss or damage of the following arising out of or in connection with to this Agreement or in any other way:

(A) any loss of profit or loss of expected revenue or profit, including any loss of expected trading profit and/or any actual or hypothetical trading loss, whether directly or indirectly, even if we were notified or known in advance of the possibility of such loss. This means that if you claim that we did not properly process a Digital Asset Transaction, your damages will be limited to no more than the total value of the Digital Assets received. support is mentioned in the transaction, and you may not be able to cover your expected trading profit loss or actual trading loss due to failure to buy or sell Digital Assets (this example will not be limited to the content stated earlier)

(B) any loss or damage to reputation or reputation; any loss of business or loss of opportunities, customers or contracts; any loss or waste of other employees' general expenses, administrative costs or time; or any other actual or expected loss of revenue or savings, direct or indirect, even if we had been advised or known in advance of the possibility of such loss; any loss of use of hardware, software or data and/or any data corruption; including but not limited to any loss or damage arising out of or in connection with any inaccuracies, errors or omissions of Digital Asset price data; any errors or delays in the transmission of such data; and/or any interruption of any such data; and

(C) any loss or damage not arising directly from our breach of this Agreement (whether or not you can prove such loss or damage).

7.5 Applicable Law

This limitation of liability in this Section 7 (Liability) is subject to any obligations we have under applicable laws and regulations, including the obligation to be careful and use reasonable skill when providing the ONUS Service. Nothing in this Agreement shall limit our liability in the event of fraud or misrepresentation, gross negligence, willful misconduct, death, or personal injury caused by the negligence of us or our subcontractors.

7.6 No warranties are given

ONUS Services, ONUS Platform, are provided on an "as is" and "as available" basis. We make no further promises regarding the availability of ONUS Services. In particular, we do not make any implied warranties of title, merchantability, or fitness for a specific purpose and/or non-infringement warranties. We make no promises that access to the ONUS Platform, any ONUS Services, or any materials on ONUS will be guaranteed to be continuous, uninterrupted, timely, or with no error.

We make no representations as to the accuracy, order, timeliness, or completeness of the Digital Asset price data available on the ONUS App, Website. Any materials, information, views, opinions, projections, or estimates presented on the ONUS App, Website are provided by ONUS for informational purposes only and are subject to change without notice. You must judge for yourself the relevance, timeliness, accuracy, completeness, commercial value, completeness, and reliability of the materials, information, opinions, predictions, or estimates on the App. ONUS, Website and/or App ONUS, Website. Accordingly, ONUS makes no warranties, and ONUS does not accept any liability for any loss arising directly or indirectly as a result of your action in reliance on any documents, information, opinions, opinions, projections or estimates are provided or made available through the ONUS App, the Website and/or the ONUS App, the Website.

ONUS Services, the ONUS Platform, and the ONUS App, the Website is not intended to provide specific investment, tax, or legal advice or to make any recommendation as to the suitability of any investment or product for any particular investor. You should seek independent financial, legal, regulatory, tax, or other advice before making an investment in investments or products. In the event that you choose not to seek advice from an appropriate advisor, you should consider whether the investment or product is right for you.

We will use reasonable efforts to ensure that Digital Asset Transactions, requests related to Digital Asset Wallets are processed in a timely manner, but ONUS makes no representations or warranties about the time required to process. Completion of processing depends on many factors beyond our control. We will use reasonable efforts to ensure that requests on the ONUS platform are processed in a timely manner, but we make no representations or warranties about the time period required to complete processing; this depends on many factors beyond our control.

Except for the express statements set forth in this Agreement, you acknowledge and agree that you do not rely on any other statement or understanding, whether written or oral, regarding the use of this Agreement when using and accessing ONUS Services App and ONUS Website.

7.7 No liability for violations

We are not responsible for any breach of the Agreement, including delays, non-performance, or interruptions of service, as they arise directly or indirectly from unusual circumstances. And unforeseen events beyond our control, the consequences of which are inevitable, nor shall we be liable if the application of mandatory legal rules causes such breach.

8. APPLICATION AND ACCURACY OF ONUS APP, SITE

8.1 Accessibility & Availability

Access to the ONUS Service may be reduced or unavailable during high trading volume or significant volatility. This may result in restrictions on access to your ONUS Account or the ONUS Services, including the inability to execute or complete transactions, and may also result in delays in support request response.

(A) although we strive to provide the best service, we do not guarantee that the ONUS App, Website, or other ONUS Services will be available without interruption, and we do not guarantee that any of your ONUS Accounts will be taken, accepted, credited, or remain open, and we do not guarantee that your ONUS Account will be accessible; and

(B) please be aware that our customer support response times can be slow, even during times of high volume or significant volatility, especially for inquiries Unreliability and security. Under no circumstances will ONUS be liable for any alleged damages arising from service interruptions, transaction processing delays, or lack of timely response from customer support of ONUS.

8.2 Accuracy of ONUS App, Website

While we aim to provide accurate and timely information on the ONUS App, the Website, the ONUS App, the Website (including but not limited to, the ONUS App Content, the Website (as defined below) is not always completely accurate, complete or up to date and may also include technical errors or typographical errors.

For the purpose of providing you with the most complete and accurate information possible, to the extent permitted by applicable law, the information may be changed or updated from time to time without notice, including but not limited to: includes more than just information regarding our policies, products, and services. Accordingly, you should verify all information before trusting it, and all decisions based on the information contained on the ONUS App, Website are solely your responsibility. We shall not be liable jurisdiction over those decisions.

9. CUSTOMER FEEDBACK, INQUIRY, COMPLAINTS, AND DISPUTE SETTLEMENT

9.1 Contacting ONUS

If you have any feedback, questions, or complaints, contact us via our Customer Support page at https://support.goonus.io/.

When you contact us, please provide your name, email address, and any other information we may need to identify you, your ONUS Account, and the transaction for which you request feedback, have questions, or complaints.

9.2 Complaints

If you have a dispute with ONUS, you agree to contact our support team first to resolve the dispute. If we are unable to resolve the dispute through the support team, you and we agree to use the complaints process outlined in this Section 9.2. You agree to use this process before taking any of the actions set forth in Section 9.4. Suppose you do not follow the procedures set forth in this Section 9.2 before taking action in Section 9.4. In that case, we reserve the right to request a court/authority to dismiss your action/application unless and until when you complete the following steps:

In the event that the complaint has not been resolved through contacting ONUS Support, please use our complaint form to determine the cause of the complaint, how you would like us to resolve the complaint, and any other information you deem relevant. You can find the complaint form on ONUS support pages, support.onus.io, or you can ask ONUS Customer Support for it. We will confirm receipt of your complaint form once you submit it. A customer complaints officer ("Employee") will review your complaint. This Officer will review your complaint based on the information you have provided and any information provided by ONUS.

Within 15 working days of our receipt of your complaint, this Officer will address all issues raised in your complaint by emailing you ("Notice of Resolution"). complaint"), where this Officer will: (i) offer to resolve your complaint in the manner requested by you; (ii) make a decision to deny your appeal and state the reasons for the denial; or (iii) offer to have your claim resolved by an alternative. Under certain circumstances, if this Employee is unable to respond to your complaint within 15 business days, the Employee will (unless prohibited by applicable law) send you a provisional reply stating the reason. Due to the delay in responding to your complaint and specifying the timeframe for responding to your complaint (no later than 35 business days from the time we receive your complaint letter).

Any offer of claims settlement we make to you will only become binding on us if you accept it. Our offer of settlement will not constitute our admission of any wrongdoing or liability in connection with the claim.

9.3 If we are unable to resolve your complaint through the complaints process set out in Section 9.2 above, you may report your complaint through the dispute processes outlined in Section 9.4 below, as applicable to you

9.4 Both you and we agree that we will not commence any dispute process set forth in Section 9.4 below in relation to all or part of your claim until such time as Section 9.2 has been completed. However, Sections 9.2 and 9.4 shall not be construed to prevent either party from seeking interim relief in a court of competent jurisdiction: For claims or disputes arising out of or in connection with this Agreement or the provision of the ONUS Services, the ONUS Platform or the ONUS App, the Website that cannot be resolved through the complaints process set out in Section 9.2 above, you may submit The courts in Singapore have consumer jurisdiction to bring proceedings against ONUS.

10. DATA PROTECTION

You acknowledge that we may process personal data relating to you (if you are an individual) and the personal data you have provided (or provided in the future) to us concerning your personal data, your employees and other associates, or other individuals (if you are not an individual) in connection with this Agreement or the ONUS Services. We will process this personal data in accordance with this Privacy Policy, which will form part of this Agreement. Accordingly, you represent and warrant that:

(A) Your disclosure to us of any personal data relating to individuals other than you is in accordance with all applicable data protection and data privacy laws, and such data is accurate, current, and appropriate when disclosed;

(B) before providing any such personal data to us, you confirm that you have read and understood our Privacy Policy, which you can view our Privacy Policy here: privacy policy, and in the case of personal data relating to an individual other than you, you acknowledge that you have provided that individual with a copy (or will provide the individual at a later date). information disclosure); or show the individual the web page containing that Privacy Policy (which is the most recent revision of the policy) and

(C) when we send you an alternate version of the Privacy Policy, you will immediately read the notice and send updated copies of the Privacy Policy to anyone to whom you have provided your personal data to us, or show them a website containing an updated Privacy Policy.

11. SECURITY

11.1 Password security

To access the ONUS Services, you will be asked to create or will be provided with detailed security information, including a username and password. You are responsible for keeping the electronic device from which you access the ONUS Services and for maintaining confidentiality and full control over any and all confidential information you use to access the ONUS service. This includes taking all reasonable steps to prevent loss, theft, or misuse of such electronic equipment and ensuring that said equipment is both encrypted and password protected.

Any loss or breach of your electronic device or security details may result in unauthorized third-party access to your ONUS Account and the possibility of a Technical Asset, numbers held in your ONUS Account being lost or stolen. You must keep your confidential information safe at all times. For example, you shouldn't write them down or let others see them.

Under no circumstances will ONUS ever ask you for your ID, password, or 2-factor authentication code, or share your screen, or attempt to gain access to your computer or account. You should not provide your details to any third party for the purpose of remote access to your account. Always log in to your ONUS Account through the ONUS App to review transactions or take action in case you feel uncertain about the authenticity of any communication or announcement.

We are not responsible for any loss you may suffer as a result of a breach of your account login information through no fault of ONUS and/or failure to comply with the requirements set forth in this Section 11.1, or not follow or act on any notice or warning we may send you.

11.2 Authentication and Verification

To access the ONUS Service, users must provide an email address and create a password. ONUS provides two-factor authentication through the user's mobile device (Short Message Service or One-Time Password (OTP) app based on time support). A verified phone number is required to activate two-factor authentication via SMS. Users are responsible for keeping the electronic devices used to access the ONUS Service secure and maintaining full control and security over all the security information used to access the ONUS Service. This includes taking all reasonable steps to prevent loss, theft, or misuse of the aforementioned electronic devices and ensuring that those electronic devices are password protected. Any loss or compromise of personal electronic devices or security information may result in unauthorized third-party access to your ONUS Account and the loss or theft of digital assets and/or other assets in your ONUS Account, as well as misuse of the associated accounts.

11.3 Security Breach

If you suspect that your ONUS Account or any of your security information has been compromised or if you discover any fraudulent or attempted fraudulent actions or any other security incidents (including a cybersecurity attack) affecting you and/or ONUS (collectively "Security Breach"), you must:

(A) promptly notify the ONUS Support Department via the free email [email protected];

(B) continue to provide accurate and up-to-date information throughout the duration of the Security Breach;

(C) you must take the steps as instructed when we request reasonable assistance in mitigating, managing, or reporting any Security Breach.

Failure to promptly provide notice of any Security Breach may be considered when we determine the appropriate resolution for the issue.

11.4 Safety and Security for Your Computer and Devices

ONUS is not responsible for any damages or interruptions caused by any computer viruses or other malicious code that may affect your computer or other devices or any other fraudulent, impersonating, or other attacking behavior. We recommend that you regularly use reputable software to prevent and detect available viruses. You should also be aware that SMS services and emails are susceptible to spoofing and phishing attacks, so you should exercise caution when reviewing messages pretending to be from us.

12. TERM OF USING API

ONUS APIs that can only be used on the ONUS Platform include the ONUS app, the goonus.io website, and our affiliates, agents, representatives, trusted service providers, and contractors for limited purposes. The use of ONUS APIs outside of the ONUS Platform will necessitate ONUS's permission. We reserve the right to block accounts that attempt to make unauthorized use of APIs for profiteering or destruction, such as system DDOS, Launchpad participation, redemption, P2P trading, and other similar activities.

13. GENERAL TERMS

13.1 Your Compliance with Applicable Laws.

You must comply with all applicable laws, regulations, licensing requirements, and third-party rights (including, without limitation, data privacy, anti-money laundering, and anti-terrorism financing laws) ) when using ONUS Services, ONUS Platform, and ONUS App, Website.

13.2 Prohibited and Conditional Uses

In connection with your use of the ONUS Services and your interactions with other users and third parties, you agree to comply with the 'Prohibited Uses, Prohibited Industry, and Conditional Use Policy (as set out in Appendix 1). Nothing in this document shall be construed to imply the unauthorized grant of any license or right to use Digital Assets for illegal, fraudulent, unethical, or unauthorized purposes or promote or facilitate any illegal, fraudulent, unethical, or unauthorized conduct or activity. We reserve the right at all times to monitor, review, retain and/or disclose any information necessary to satisfy applicable laws, regulations, sanctions, legal processes, or the requirements of law enforcement agencies.

13.3 Modifications

We will notify you of any changes to the Agreement regarding the ONUS Services. In such cases, you will be deemed to have accepted such changes if you do not notify us by the effective date of the change and continue to use the ONUS Services. If you do not accept the change, you must notify us and the Agreement will terminate at the end of the notice period. You may also terminate the Agreement immediately at no cost. Termination takes effect at any time prior to the expiration of the notice period.

We may make all other amendments to the Agreement (including in relation to any other ONUS Services) by posting the revised Agreement on the ONUS App, Website, or by submitting it via email and letting you know when the revised Agreement goes into effect. While we will try to notify you in advance where possible, we will let you know that the revised Agreement will take effect immediately where it is lawful to do so. If you do not agree to any such modification, you should close your ONUS Account and cease using the ONUS Services. You agree that any notice of modifications in a foregoing manner shall be sufficient notice and that your continued access to and/or use of the ONUS Services and/or the Website will constitute your you acknowledge the modifications, and this will be deemed your acceptance of the revised Agreement.

Copies of the latest version of the Agreement will always be available on the ONUS App, Website.

13.4 Relationship of the Parties

Nothing in this Agreement shall be deemed or shall be deemed to be, nor shall you or ONUS be a partnership or joint venture, or you or ONUS an agent of the other.

13.5 The Privacy of Others

If you receive information about other users through the ONUS Services, you must keep the information confidential and use that information only in connection with the ONUS Services. You may not disclose or provide user information to third parties or use the information unless there is a reasonably necessary reason to perform a transaction and other incidental functions reasonably, such as support, reconciliation, and accounting, unless the user agrees to allow you to do so. You may not send unsolicited communications to other users through the ONUS Service.

13.6 Contact Information

It is your responsibility to update your contact details (including email address and phone number) in your ONUS Account record to receive any notices or alerts we may send to you (including notices or warnings about actual or suspected Security Breach). Please see Appendix 3 for more details regarding how we will contact you.

13.7 Taxes

You are solely responsible for determining whether your transactions made through ONUS are taxable and the amount to be taxed for such transactions, and for the retention, collection, reporting, and payment of correct tax amount to the appropriate tax authority. Your transaction history is available on your ONUS Account.

13.8 Unclaimed property

If we hold Digital Assets on your behalf and are unable to contact you, and have no record of your use of the ONUS Services for several years, applicable law may require us to report the digital assets as unclaimed property to the authorities in certain jurisdictions. We will attempt to locate you at the address shown in our records. Still, if it cannot be found, we may be required to deliver any such Digital Assets to agencies in some jurisdictions as unclaimed property. We reserve the right to deduct account freezing fees or other administrative fees from such Unclaimed Assets where permitted by applicable law.

13.9 Account holder passed away

For security reasons, if we receive legal documents confirming your death or other information that leads us to believe you have passed away, we will freeze your ONUS Account, and for the time being, no transaction can be completed until (i) your operator/designee has opened a new ONUS Account, as further described below, and all Your ONUS account has been transferred to that new account, or (ii) we have received satisfactory evidence leading us to believe that you have not passed away. If we have reason to believe you may be deceased, but we do not have satisfactory proof of your death, you authorize us to make requests, whether directly or through a third party. Which we consider necessary to determine if you have passed away. Once we have received satisfactory proof that you have passed away, the operator/trustee you have designated in a valid Will or similar Will document will be required to open a new ONUS Account. If you have not appointed a moderator/trustee, we reserve the right (i) to treat you as your operator/trustee with any person entitled to inherit your ONUS Account as a result of us. I determine through receipt and review of documents that I consider necessary or appropriate, including (but not limited to) a Will or similar document or (ii) requesting an order to appoint an administrator. /trustee from a court that has jurisdiction over your estate. In the event that we determine that there is uncertainty regarding the appointment of a moderator/trustee, we reserve the right to request an order to resolve the matter from a court of competent jurisdiction before taking any action in relation to your ONUS Account. Subject to the foregoing, the opening of a new ONUS Account by a designated operator/trustee is required upon the death of the ONUS Account holder, and you agree that the operator/trustee Your trustee will be required to open a new ONUS Account and provide the necessary information pursuant to Section 3 of this Agreement to gain access to the contents of your ONUS Account.

13.10 Entire Agreement

This Agreement (including documents incorporated by reference herein) constitutes the entire understanding and agreement between you and ONUS as to the subject matter hereof and it supersedes any and all prior discussions, agreements and understandings of any kind (including without limitation any prior versions of this Agreement), and of any kind between you and ONUS.

13.11 Interpretation

The section headings of this Agreement are for convenience only and shall not govern the meaning or interpretation of any provision of this Agreement.

13.12 Transfers

This Agreement is personal to you, and you may not assign or assign your rights, licenses, interests, and/or obligations to anyone else. We may assign or sublicense our rights, interests, and/or obligations at any time, including as part of a merger, acquisition, or other corporate reorganization related to ONUS, provided that such assignment or assignment does not materially affect the quality of the ONUS Services you receive. Subject to the foregoing, this Agreement shall be binding and enforceable to the benefit of the parties, their successors, and assigns.

13.13 Invalidity

Suppose any provision of this Agreement is determined to be invalid or unenforceable under any applicable law. In that case, this will not affect the validity of any other provision. Suppose any provision is found to be unenforceable. In that case, the unenforceable provision will be severed, and the remaining provisions will remain enforceable.

13.14 Exercising Our Rights

We may not always be able to enforce our rights under this Agreement strictly. Suppose at any time we choose not to exercise our rights. In that case, this is only a temporary measure, and we may strictly enforce our rights again at any time.

13.15 Change of control

Suppose ONUS is acquired or merged with a third-party legal entity. In that case, we reserve the right to transfer or assign the information we have collected from you and our relationship with you (including this Agreement) as part of a merger, acquisition, sale, or other change of control.

13.16 Existence

All provisions of this Agreement are substantially beyond the term or time of termination of this Agreement, including but not limited to, Sections relating to suspension or termination, cancellation of ONUS Accounts, liabilities to ONUS, joint use of the ONUS Platform or App, ONUS Website, disputes with ONUS and the general terms shall continue to be binding on and in effect after termination or expiration of this Agreement.

13.17 Governing Law

This Agreement and the relationship between you and us will be governed by the laws of Lithuania, subject to any mandatory local laws or User rights.

APPENDIX

Appendix 1: PROHIBITED TYPES OF USE, PROHIBITED LINES, AND CONDITIONAL USE FORMS

1. Prohibited Uses

You may not use your ONUS Account to engage in the following categories of activity ("Prohibited Use"). The specific usage patterns listed below are representative but not exhaustive. If you are unsure whether your use of the ONUS Services or the ONUS Platform is related to Prohibited Uses or have questions about how these requirements apply to you, please submit a support request. at: https://support.goonus.io/hc/en/requests/new or email: [email protected]

By opening an ONUS Account, you represent and warrant that you will not use your ONUS Account, any ONUS Services, and/or the ONUS Platform to do any of the following:

(A) Illegal Activity: Activity that may violate or facilitate the violation of any law, regulation, ordinance, or regulation or law enforcement program enforced in countries where ONUS conducts business, including, but not limited to, regulatory regimes enforced by the Office of Foreign Assets Control of the United States Department of the Treasury ("OFAC"), or in connection with Revenue gain from any illegal activity; publish, distribute or disseminate any unlawful material or information.

(B) Abuse Actions: Actions that impose an unreasonable or disproportionately large burden on our infrastructure or interfere with, intercept or hijack any systems, data or information any negative way; transmit or upload any material to the Website that contains a virus, trojan, worm or any other malicious or harmful program; attempt to gain unauthorized access to the Website, other ONUS accounts, computer systems or networks connected to the Website, through password mining or any other means; use another party's ONUS Account information to access or use the ONUS App, Website, except where merchants and/or specific applications are specifically authorized by the user to access the information and that user's ONUS account; or transfer your account access or the rights to your account to a third party, except as required by law or and with express permission from ONUS.

(C) Abuse of Other Users: Obstructing another person or entity from accessing or using any ONUS Services; libel, abuse, blackmail, harass, stalk, threaten, or otherwise violate the legal rights (such as, without limitation, privacy, publicity, and intellectual property) rights of others; instigating, threatening, facilitating, promoting, or encouraging hostile, racist, or violent behavior against others; collects information from the ONUS App, Website about others, including but not limited to email addresses, without appropriate consent.

(D) Fraud: Acting to defraud ONUS, ONUS users, or any other person; provide any false, inaccurate or misleading information to ONUS.

(E) Gambling: Lottery; charged auctions; sports forecasts or offers odds; virtual sports prizes with cash prizes; compete for games on the internet; competitions; sweepstakes; game of chance.

(F) Infringement of Intellectual Property Rights: Entering into transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy, or any other proprietary right by law, including but not limited to the sale, distribution, or access to music, movies, counterfeit software, or other licensed materials, without prior authorization from the owner; use ONUS intellectual property, name or logo, including use of ONUS trademarks or services without express consent from ONUS, or otherwise harm ONUS or the ONUS brand; any action that implies an untrue claim of or relating to ONUS.

2. Prohibited Occupations

In addition to the Prohibited Uses described above, the following categories of businesses, business methods, and items of sale are prohibited from being conducted using the ONUS Services or the ONUS Platform ("Prohibited Industries"). . By opening an ONUS Account, you represent and warrant that you will not use the ONUS Services or the ONUS Platform in connection with any of the following businesses, activities, practices, or items:

(A) Limited Financial Services: guarantees; debt collection services;

(B) Infringement of intellectual property or proprietary rights: selling, distributing, or accessing counterfeit music, movies, software, or other licensed materials without the permission of the owner;

(C) Counterfeit or Unauthorized Goods: the unauthorized sale or resale of brand or designer products or services; selling goods or services that are illegally imported or exported;

(D) Strictly regulated Products and Services: cannabis clinics and distributors and related businesses; sale of cigarettes, e-cigarettes, and liquid for e-cigarettes; online prescription or pharmacy services; age-restricted goods or services; weapons and ammunition; gunpowder and other explosives; fireworks and related goods; toxic, flammable and radioactive materials;

(E) Drugs and Injection Drug Supplies: selling drugs, controlled substances, and any device designed to produce or use drugs, such as decks, vape tubes, and hookahs;

(F) Counterfeit drugs: pharmaceuticals and other products that make health claims that have not been approved or verified by applicable national and/or local regulatory authorities;

(G) Substances designed to counterfeit, illegal drugs: selling a legal substance that has the same effect as an illegal drug (e.g., salvia, kratom);

(H) Adult Content and Services: pornography and other obscene materials (including literature, images, and other media); sites that provide any sex-related services such as prostitution, pay-per-view, adult live chat;

(I) Multi-level marketing: pyramid system, network marketing;

(J) Unfair, exploitative or deceptive practices: Investment opportunities or other services that promise high rewards; sell or resell a service without added benefit to the buyer; reselling government services without authorization or value-added; websites that we perceive and decide to consider unfair, deceptive, or exploitative;

(K) High-risk business: any business that we believe poses a high financial risk, liability, card network, or banking policy violation.

3. Conditional use

Express written consent and approval must be obtained from ONUS before use of the ONUS Services for business items and/or subsequent use ("Conditional Use"). Written consent can be requested by contacting us at: https://support.goonus.io/hc/en/requests/new or emailing: [email protected]

ONUS may also require you to agree to additional conditions, make additional representations and warranties, complete advanced account opening processes, and operate within limits if you use the Service. ONUS is related to any of the following businesses, activities, or practices:

(A) Charities: Receive donations for nonprofit businesses;

(B) Games of Skill: Games that are not defined as gambling under this Agreement or by law, but which require entry fees and award prizes;

(C) Religious/Spiritual Organization: The activity of a for-profit religious or spiritual organization.

Appendix 2: VERIFICATION PROCEDURES AND LIMITS

ONUS uses multi-level systems and processes to collect and verify information about you to protect ONUS and the community from fraudulent users and to maintain proper records of ONUS customers. Your access to one or more ONUS Services or the ONUS Platform and the limits imposed on your use of the ONUS Services (including but not limited to daily or weekly conversion limits, limited level of Digital Assets deposited in the ONUS App, withdrawal of Assets, and transactions, instant purchase limit, transfer limit in the Digital Asset Wallet, and limit for transactions from a recognized payment method link) as well as any changes to such limits from time to time, which may be based on the identification and/or personal information you provide to ONUS.

ONUS may ask you to provide or verify additional information or wait a period after completing a transaction before allowing you to use any ONUS Services and/or before allowing you to participate in transactions that exceed a certain volume limit. You can determine a volume limit related to your identity verification level by submitting a request at https://support.goonus.io/hc/en/requests/new or emailing: support@goonus .io

You can submit a request at https://support.goonus.io/hc/en/requests/new or email: [email protected] to request a limit increase. ONUS will ask you to submit to Advanced Account Verification. Additional fees may apply, and ONUS does not guarantee that we will increase your limit.

Appendix 3: CONTACT INFORMATION

1. Send contact information electronically

You agree to receive all communications, agreements, documents, notices, and publicly available information electronically (collectively, "Communications") that we provide in connection with your ONUS account and your use of the ONUS Service. Contact information includes:

(A) the terms of use and policies to which you agree (e.g., Agreement and Privacy Policy), including updates to these agreements or policies;

(B) account details, history, transaction receipts, confirmations, and any other account or transaction information;

(C) legal, regulatory, and tax disclosures or statements that we may be required to provide to you;

(D) respond to customer support inquiries or requests submitted in connection with your ONUS Account.

Except as otherwise provided in this Agreement, we will provide these Notices to you by posting them on the ONUS App, Website, emailing them to you at the primary email address listed in your Account, communicating with you via instant chat and/or through other electronic communications such as text messages or mobile push notifications and you agree that such Notice will constitute full Notice of the subject matter.

2. How to withdraw your consent.

You may change your mind about opting out of Electronic Notifications by contacting us at: https://support.goonus.io/hc/en/requests/new or emailing: [email protected]. If you do not give your consent or withdraw your decision to receive the Notice in a specified manner, ONUS reserves the right to immediately close your ONUS Account or charge an additional fee for a paper copy of the Notice.

3. Update your information.

It is your responsibility to provide us with a valid and complete email address and contact information and to keep such information up to date. You understand and agree that if ONUS sends you an Electronic Notice, but you do not receive it because the primary email address you have provided is incorrect, not up to date, blocked by your service provider, or because of other reason why you are unable to receive the Electronic Notice, ONUS is deemed to have provided the Communication to you.

Appendix 4: ADDITIONAL ELIGIBILITY FOR VIETNAM ENTERPRISES

For Vietnamese citizens under the age of 18, to be eligible to use any ONUS Services, you must be 14 years of age or older and have been issued with a citizen identification card (with chip). Vietnamese citizens are not allowed to use Digital Assets through the ONUS Platform as a means of payment in the purchase and sale of any goods or services that are not provided by ONUS.
